Terms of use
1. Who we are
Orbius (“Orbius”, “we”) is a company registered in Serbia providing B2B software licensing and technology solutions for professional video. Company details are published on the contact page. Contact: office@orbius.one.
Part A — Website
2. Use of the website
orbius.one is an information website. You may browse it and use the forms on it to contact us. You may not use it in a way that damages it or interferes with its operation, or copy its content for commercial republication. The content is provided for information and does not constitute an offer; an offer is made only in a written proposal.
3. Intellectual property
The text, design and logos on this website belong to Orbius. Names of software products and vendors belong to their respective owners and are used to describe what we license.
4. No warranty for the website
We keep the website accurate and available but do not guarantee that it is free of errors or interruptions. To the extent permitted by law we are not liable for loss arising from its use.
Part B — Orders
5. Orders and agreement
An order is formed when the customer accepts a written proposal issued by Orbius. The proposal, these terms, and any vendor end-user license terms attached to the proposal together form the agreement. Customers are businesses; consumer law does not apply.
6. Software licenses
Orbius supplies licenses to third-party software as an authorised licensing partner of the vendor. The right to use the software is granted by the vendor under its end-user license terms, which the customer accepts on activation. Orbius warrants that it is authorised to supply the license and that the license will be registered to the customer’s organisation. Orbius does not modify the software and gives no warranty for it beyond the vendor’s; it passes vendor warranties and support commitments to the customer and manages claims under them on the customer’s behalf.
7. Technology solutions
Services are performed according to the scope of work in the proposal, with reasonable skill and care, by qualified engineers. The customer provides timely access to sites, systems, staff and information. Changes to scope are agreed in writing with their effect on price and schedule. Services are complete when the acceptance criteria in the proposal are met, or 10 business days after the customer is invited to accept if it does not respond. Documentation and configurations produced for the customer may be used by it to operate and maintain the delivered system.
8. Support and maintenance
Support agreements have an annual term and the coverage and reaction times stated in the proposal. They renew unless either party gives notice 60 days before the end of the term. Support includes management of the customer’s cases with the software vendor.
9. Prices, invoicing and payment
Prices are stated in the proposal, exclusive of VAT and other taxes. Licenses are invoiced on order, services on milestones, support annually in advance. Invoices are payable within 30 days. VAT is applied according to Serbian law and the place-of-supply rules for cross-border services; customers provide a valid VAT identification where applicable. Orbius may withhold deliveries and suspend support while undisputed invoices are overdue.
10. Delivery
License keys and activation instructions are delivered by email within one business day of payment unless the proposal states otherwise. Delivery dates for services are estimates unless stated as binding in the proposal.
11. Customer responsibilities
The customer is responsible for the infrastructure the software runs on, for the content and data processed through it and the rights to them, for compliance with vendor license terms, and for compliance with the laws that apply to its use of the software, including data protection law.
12. Compliance
Orbius screens orders for export control and sanctions compliance and may decline or cancel an order that cannot be lawfully fulfilled, refunding any amounts paid for the cancelled part.
13. Liability
To the extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or service, however caused. Orbius’s total liability under an order is limited to the amount paid under that order. These limits do not apply to liability that cannot be limited by law, or to fraud or wilful misconduct.
14. Refunds
Refunds are governed by the refund policy.
15. Confidentiality
Each party keeps confidential the non-public information it receives from the other in connection with an order, uses it only for the order, and discloses it only to people who need it and are bound by confidentiality. This obligation survives the order for five years.
16. Data protection
Personal data that Orbius processes in connection with orders is described in the privacy policy. Orbius does not host customer platforms and does not process the data that runs through them. If a project requires Orbius to process personal data on the customer’s behalf, the parties sign a data processing agreement before the work starts.
17. Termination
Either party may terminate an order for material breach not cured within 30 days of notice. Sections 3, 13, 15, 16 and 18 and any payment obligations survive termination.
18. Governing law and disputes
These terms and every order are governed by the law of the Republic of Serbia. Disputes that cannot be settled by negotiation within 30 days are submitted to the competent court in Belgrade, unless the proposal provides for arbitration.
19. Changes
We may update these terms for future orders. The version in force for an order is the one published on the date of the proposal, which we provide on request.
